These Terms of Service ("Terms") govern the use of online services provided by Mietec GmbH (UID CHE-364.036.829, Tychbodenstrasse 3, 4665 Oftringen, Switzerland), in particular the Ulgio SaaS platform (ulgio.com) and its subscription-based services. By creating an account or using any Ulgio service, the customer ("Customer", "you") agrees to these Terms.
Ulgio provides an AI-powered virtual assistant that can, depending on the subscribed plan, answer phone calls, handle WhatsApp Business messages, process web form submissions and provide related dashboard/automation features for business customers. We may add, change or discontinue individual features of the service, provided the core functionality of the Customer's active subscription is not materially reduced without notice.
The service is intended for business customers (companies, sole proprietors and other legal entities). You must provide accurate registration information and keep your account credentials confidential. You are responsible for all activity carried out under your account.
Access to Ulgio is provided on a subscription basis. Subscription fees are billed periodically (e.g. monthly or annually, as selected at sign-up) through our payment provider (Stripe). By subscribing, you authorize us to charge the applicable fees to your chosen payment method. Prices are stated exclusive of applicable taxes unless otherwise noted. Where the Customer connects their own WhatsApp Business Account, any WhatsApp messaging charges are billed separately by Meta directly to the Customer.
Subscriptions renew automatically for the same period unless cancelled by the Customer before the renewal date, through the dashboard or by written notice to the contact address below. Cancellation takes effect at the end of the current billing period; fees already paid are non-refundable except as required by mandatory Swiss law.
The Customer agrees not to use the service to send unsolicited or unlawful messages, to violate WhatsApp's or Meta's platform policies, to infringe third-party rights, or to engage in any activity that disrupts or compromises the security of the service. We may suspend or terminate accounts that materially violate this section.
Processing of personal data in connection with the service is described in our Privacy Policy, which forms part of these Terms. The Customer remains responsible for having a valid legal basis to process the personal data of its own end users through the service.
Mietec GmbH retains all rights, title and interest in and to the Ulgio platform, including its software, branding and documentation. The Customer is granted a limited, non-exclusive, non-transferable right to use the service for its own internal business purposes during the subscription term.
To the maximum extent permitted under Swiss law, Mietec GmbH's liability for damages arising from or in connection with the service is limited to direct damages and shall not exceed the fees paid by the Customer for the service during the three (3) months preceding the event giving rise to the claim. Mietec GmbH is not liable for indirect, incidental or consequential damages, or for the unavailability of third-party services (including Meta/WhatsApp, payment providers or hosting/infrastructure providers) beyond its reasonable control.
We aim to provide a reliable service but do not guarantee uninterrupted availability. Scheduled maintenance and factors outside our control (including outages of third-party infrastructure or the WhatsApp Business Platform) may affect availability from time to time.
We may update these Terms from time to time. Material changes will be communicated to active Customers by email or through the dashboard, and will take effect for the next billing period unless a shorter period is required by law.
These Terms are governed by the substantive laws of Switzerland, excluding its conflict-of-law rules. The exclusive place of jurisdiction for any dispute arising from or in connection with these Terms is the registered office of Mietec GmbH in the Canton of Aargau, Switzerland, to the extent permitted by mandatory law.
